Why You Need ToS Before Launch
Terms of Service are the rules of engagement between your product and your users. Without them, you have no legal framework for what happens when things go wrong -- and in software, things always go wrong eventually.
Your ToS protects you in three critical ways. First, they limit your liability. If your SaaS goes down for 24 hours and a customer loses revenue, your ToS defines whether you owe them nothing, a prorated refund, or their entire year's salary. Without ToS, a judge decides -- and you won't like their answer.
Second, they establish acceptable use. Without explicit rules, you can't ban users who abuse your platform, scrape your data, or use your product for illegal purposes. Your ToS gives you the legal basis to terminate bad actors.
Third, they protect your intellectual property. Your ToS should make clear that you own the software, the design, and the technology -- and that users are getting a license to use it, not ownership of it.
Every startup we've worked with at our Miami studio launches with at least a basic ToS. It's not optional. It's foundational.
Key Sections Explained
Acceptance of Terms
By using the product, the user agrees to the terms. This is typically enforced through a checkbox during signup ("I agree to the Terms of Service") or by continued use of the service. Make it explicit. Don't hide it.
Account Registration
Users must provide accurate information, keep their credentials secure, and are responsible for all activity under their account. You need this to prevent fraud and establish that users are responsible for their own security.
Acceptable Use
Define what users can and cannot do. No illegal activity, no abuse of the system, no scraping, no reverse engineering, no impersonation. This section gives you the grounds to terminate accounts that violate your rules.
Intellectual Property
You own the software. Users get a limited, non-exclusive license to use it. User-generated content belongs to users, but you get a license to display and process it as needed to provide the service. Clearly separate what's yours and what's theirs.
Payment Terms
How billing works, when payments are due, what happens when a payment fails, and your refund policy. Be specific about auto-renewal, price changes, and how much notice you'll give before increasing prices.
Cancellation
How users can cancel, what happens to their data, and whether you offer prorated refunds. The clearer this section, the fewer support tickets and disputes you'll deal with.
Limitation of Liability
The most important section for protecting your business. You are not liable for indirect, incidental, or consequential damages. Your total liability is typically capped at the amount the user paid in the last 12 months. Without this, one bad bug could bankrupt your startup.
Governing Law
Which state or country's laws apply to disputes. For Miami-based startups, this is typically the State of Florida. This prevents users from suing you in obscure jurisdictions.

- You have paying customers (real revenue = real liability)
- You process sensitive data (health, financial, personal)
- You sell to enterprise customers (they'll redline your ToS)
- You operate in a regulated industry
- You raise institutional funding (investors will require it)
